Terms of Service & Business Agreement

1. What this agreement covers

This agreement is between RingbackBizAI ("RingbackBizAI," "we," "us") and the business creating a profile through our onboarding form ("you," "your business"). By checking the agreement box during signup, you agree to these terms.

2. What the service does

RingbackBizAI automatically texts back customers who call your business and don't reach anyone, using an AI assistant configured with the hours, pricing, tone, and rules you provide. Depending on your plan, it may hold a two-way conversation, provide rough quotes within ranges you set, book jobs, and escalate urgent or unclear situations to you.

3. Your responsibilities

• The pricing, hours, and rules you enter are what the AI uses. You're responsible for keeping them accurate.
• You're responsible for having the legal right to send automated text messages to the customers who contact your business, and for complying with the TCPA and any other applicable telemarketing or messaging laws in your jurisdiction.
• Every conversation must let a customer opt out (for example, by replying STOP), and you must honor opt-outs.
• You won't use the service to send unsolicited marketing messages, illegal content, or messages to numbers that haven't contacted your business first.

4. Billing, trials, and cancellation

• Plans are billed monthly in advance, starting after any free trial period ends.
• You can cancel anytime. Cancellation takes effect at the end of the current billing period, and there is no long-term contract.
• Fees already charged are non-refundable except where required by law.
• Billing is processed by Stripe. We don't store your full card details ourselves.

5. Data we handle

To operate the service, we process:

• Your business profile (name, hours, pricing, rules, contact info).
• Messages between your business and your customers, so the AI has conversation context.
• If you connect Google Calendar, the minimal access needed to check availability and create events on your calendar. We don't read calendars you haven't connected, and you can disconnect access at any time from your Google account permissions.

This data is processed using third-party subprocessors: AWS (message and call delivery via AWS End User Messaging and Amazon Connect, plus infrastructure hosting), Groq (AI processing), Stripe (billing), and Google (calendar, if connected). We don't sell your data or your customers' data.

6. Disclaimer of warranties

The service is provided "as is." AI-generated replies may occasionally be inaccurate; we don't guarantee any particular booking, quote, or business outcome. You remain responsible for reviewing escalated conversations and for the final accuracy of any quote or commitment made to a customer.

7. Limitation of liability

To the maximum extent permitted by law, RingbackBizAI is not liable for indirect, incidental, or consequential damages arising from use of the service, and our total liability for any claim is limited to the amount you paid us in the 12 months before the claim arose.

8. Termination

Either party may terminate this agreement at any time. We may suspend or terminate service immediately if we reasonably believe your use violates Section 3 (Your Responsibilities) or applicable law.

9. Changes to these terms

We may update these terms as the service changes. Continued use after an update means you accept the revised terms.

10. Governing law

This agreement is governed by the laws of the State of Arizona, without regard to conflict-of-law principles.

11. Language

This agreement is originally written and executed in English. Spanish and French versions are provided for convenience so business owners can read this agreement in their preferred language. If any conflict or ambiguity arises between a translated version and this English version, this English version controls.
